Terms & Conditions

By accessing and using VocalVault ("the Platform"), you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use the Platform.

VocalVault reserves the right to modify these terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified terms.

To use certain features of the Platform, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Be responsible for all activities under your account

Your username is permanent and cannot be changed after registration. You must be at least 18 years old to create an account.

Users may upload vocal recordings, audio files, and other content ("User Content"). By uploading content, you:

• Warrant that you own or have rights to the content
• Grant VocalVault a license to host, display, and distribute your content
• Agree not to upload infringing, illegal, or harmful content
• Accept responsibility for any copyright claims against your content

Animated images (GIFs) for profile pictures and cover art are a premium-only feature. Non-premium users' animated uploads are automatically converted to static images.

All purchases — including individual vocals and bundles (collections of vocals) — are processed securely through our payment processor. By making a purchase, you agree to:

• Pay the listed price plus any applicable processing fees
• Provide accurate payment information
• Accept that digital goods are generally non-refundable

Platform Fees: VocalVault charges a 17% platform fee on marketplace sales and an 8% fee on custom requests. Sellers receive the remaining percentage after fees.

Processing Fees: Processing fees (2.9% + $0.30 per transaction) are charged to the buyer in addition to the listed price.

VocalVault offers two subscription tiers, billed monthly:

• Premium — $10.88 USD per month
• Pro — $35 USD per month

By subscribing to either tier, you agree to:

• Monthly recurring billing until you cancel
• Subscription fees are non-refundable for the current billing period
• You may cancel at any time with no long-term commitment

Premium Features: Verified seller badge, profit charts, sales & discount codes, animated GIF uploads, custom store URL, and ad-free profile.

Pro Features: All Premium features plus advanced analytics (full 5-step sales funnel), priority marketplace placement, social link analytics, market insights, and derivative works scanning — automated biweekly scanning of vocals across streaming platforms using audio fingerprinting technology.

Feature access requires an active subscription. Premium subscribers may upgrade to Pro at any time. VocalVault reserves the right to modify subscription features with reasonable notice to subscribers.

Sellers may promote their vocals and bundles through VocalVault's promotion system. Promotions operate on a CPM (Cost Per Mille) budget model:

• Minimum promotion budget: $5.00 USD
• CPM rate is dynamically calculated based on site traffic and active promotions
• Budget depletes based on impressions served; impression counts are not guaranteed
• All active promotions are displayed in rotation on the homepage
• Promotions automatically expire after 30 days from creation, or when budget is exhausted, whichever comes first
• Topping up a promotion's budget resets the 30-day expiry timer

VocalVault reserves the right to remove or pause any promotion that violates platform guidelines. Promotional content must comply with all platform rules and applicable laws.

Premium sellers may create discount codes for their listings. By creating discount codes, you agree to:

• Honour all active discount codes you have created
• Accept that codes are subject to expiration dates and usage limits you set
• Understand that VocalVault enforces code validation at checkout automatically

Discount codes may offer a percentage or fixed amount off the listed price. Sellers are responsible for managing their codes and any financial impact from discounts applied.

Custom vocal requests are protected by our escrow system:

• Buyer funds are held securely until work is approved
• Sellers must deliver within the agreed timeframe
• Buyers may request refunds for overdue deliveries
• Disputes are handled on a case-by-case basis

The VocalVault platform, branding, and proprietary features are protected by intellectual property laws. Users retain ownership of their uploaded content but grant VocalVault necessary licenses to operate the service.

Purchased vocals are licensed, not sold. Buyers receive usage rights as specified in the license agreement, but the original artist retains copyright of their performance.

Users must not:

• Upload content that infringes copyrights or trademarks
• Engage in fraud, harassment, or abusive behavior
• Attempt to circumvent platform security or fees
• Use the platform for illegal purposes
• Create multiple accounts to evade bans or restrictions
• Scrape, copy, or redistribute platform content without permission

VocalVault may suspend or terminate accounts that violate these terms. Users may delete their accounts at any time through account settings. Upon termination:

• Access to purchased content may be retained
• Pending payouts will be processed according to normal schedules
• User content may be removed from the platform

VocalVault is provided "as is" without warranties. We are not liable for:

• User-to-user disputes or transactions
• Loss of data or content
• Service interruptions or technical issues
• Third-party actions or content

Our total liability is limited to the amount you paid to VocalVault in the 12 months preceding any claim.

These terms are governed by the laws of New Zealand. Any disputes will be resolved in New Zealand courts.
